2. SUBJECT OF THE AGREEMENT
2.1. The Services include, in particular: individual and group training sessions and game sessions, analysis of chess games, consultations on chess preparation, and support of playing practice.
2.2. The Parties have expressly agreed that the Services do not constitute educational activities within the meaning of Federal Law No. 273-FZ of 29 December 2012 “On Education in the Russian Federation”: the Contractor does not implement basic or supplementary educational programmes, does not conduct interim or final assessment, and does not issue documents on education and (or) qualifications. The Services are of an informational, consulting and leisure-and-development nature and are not subject to licensing.
2.3. The Services are provided remotely using third-party online platforms and video communication and messaging services (including interactive chess platforms and video conferencing services), the specific list of which is determined by the Contractor and communicated to the Customer. The Customer is notified that such services are provided by third parties under their own user agreements, for the operation of which the Contractor is not responsible.
2.4. The Contractor may engage third parties (coaches, specialists, co-contractors) to provide the Services, remaining responsible to the Customer for the quality of the Services, and may replace them without additional approval from the Customer.
2.5. Up-to-date information on the types, formats, prices and schedule of the Services is published on the Website and (or) communicated to the Customer via an agreed communication channel and forms an integral part of this Offer.

3. ACCEPTANCE OF THE OFFER. PROCEDURE FOR CONCLUDING THE AGREEMENT
3.1. Payment by the Customer for the Services (in full or in part) by any method offered by the Contractor constitutes Acceptance of the Offer and conclusion of the Agreement.
3.2. The Agreement is deemed concluded in writing from the moment of Acceptance. By virtue of Clause 3 of Article 434 and Clause 3 of Article 438 of the Civil Code, the electronic form of the Agreement is equivalent to a document signed by the Parties by hand.
3.3. By performing Acceptance, the Customer confirms that:
3.3.1. the Customer has fully read the terms of the Offer and its Annexes, understands them and accepts them without reservation;
3.3.2. the Customer has the necessary legal capacity and authority to conclude the Agreement, including, where the Services are provided to a minor, that the Customer is the minor’s legal representative and consents to the child’s participation in the sessions;
3.3.3. the information provided by the Customer to the Contractor is accurate.
3.4. The Customer’s consent to the processing of personal data is given in the manner set out in Section 10 of the Offer and is not a condition for receiving the Services beyond the extent necessary for the performance of the Agreement.

4. RIGHTS AND OBLIGATIONS OF THE PARTIES
4.1. The Contractor undertakes:
4.1.1. to provide the Services in good faith and in accordance with the agreed schedule;
4.1.2. to publish on the Website or communicate to the Customer accurate information about the Services sufficient for choosing them;
4.1.3. to notify the Customer in advance of any change to the schedule in the manner set out in Section 2 of Annex No. 1.
4.2. The Contractor has the right:
4.2.1. not to commence the provision of the Services, or to suspend it, until payment is received;
4.2.2. to engage third parties and replace them (Clause 2.4);
4.2.3. with the Customer’s prior consent, to make audio and video recordings of sessions for the purposes of monitoring and improving the quality of the Services and resolving possible disputes. Such recordings and the Participant’s image may be used in advertising and demonstration materials only with a separate consent given in accordance with Section 10;
4.2.4. to withdraw from the Agreement in the cases provided for in Section 8.
4.3. The Customer undertakes:
4.3.1. to pay for the Services in a timely manner and in full in the manner set out in Section 5. Payment shall be made no later than 1 (one) hour before the start of the session; if payment has not been made, the Contractor may decline to hold the session;
4.3.2. to ensure that the Participant has the technical means to take part in the sessions (working equipment, Internet access, a microphone and a webcam) and to arrange a workplace;
4.3.3. to guarantee that the Participant has no medical contraindications to taking part in the sessions; the Customer is responsible for the accuracy of this information;
4.3.4. to read the Rules for the Provision of Services (Annex No. 1) before Acceptance and to comply with them.
4.4. The Customer has the right:
4.4.1. to receive the Services in accordance with the terms of the Offer;
4.4.2. to receive clarifications on matters relating to the provision of the Services; the Contractor responds within 4 (four) business days of receiving the request;
4.4.3. to withdraw from the Agreement at any time in the manner set out in Section 8.

5. PRICE OF THE SERVICES AND PAYMENT PROCEDURE
5.1. The price of the Services depends on the type of sessions chosen by the Customer (trial, individual, group or other), their duration and volume, and is communicated to the Customer by publication on the Website or via another agreed communication channel (email, messengers, telephone).
5.2. The Services are provided on a 100% prepayment basis unless otherwise agreed by the Parties. The payment obligation is deemed fulfilled from the moment the funds are received in the Contractor’s settlement account or credited via the payment system used, and in the case of payment in Digital Currency, at the moment specified in Clause 5.12.
5.3. A Customer that is a legal entity or an individual entrepreneur pays on the basis of an invoice. To a Customer that is an individual, the Contractor sends a payment link via an agreed communication channel.
5.4. Settlements are made in Russian roubles by non-cash payment. Settlements with a Non-Resident Customer may also be made in the currency indicated on the payment page (Sub-clause 5.7.1) or in Digital Currency (Clauses 5.9–5.16). Fees of banks and payment systems and blockchain network transfer fees are paid by the Customer, unless otherwise provided by law or by Clause 5.8.
5.5. The Contractor is not liable for any delay in commencing the Services caused by the Customer specifying incorrect payment details or by the impossibility of identifying the payment, until the payment is confirmed.
5.6. Sessions that have been paid for but not used are recorded on the Customer’s balance and may be used within the agreed time frame or refunded in the manner set out in Section 8.
5.7. In addition to the methods specified in Clause 5.3, a Non-Resident Customer may pay for the Services:
5.7.1. by a bank card issued by a foreign bank, including via Apple Pay or Google Pay, through the payment service a link to which the Contractor sends via an agreed communication channel;
5.7.2. in Digital Currency, in the manner set out in Clauses 5.9–5.16.
5.8. When paying by the method specified in Sub-clause 5.7.1, the Services are paid for at the prices in US dollars that the Contractor sets for Non-Resident Customers and publishes on the Website (including its English version) or communicates to the Customer via an agreed communication channel. Such prices are set by the Contractor independently, are not a conversion of the rouble prices at the exchange rate of the Bank of Russia or any other rate, and may differ from the rouble equivalent. They include the fee of the payment service through which payment is accepted; this fee is not charged to the Customer in addition. The amount and currency of the payment are indicated on the payment page. If the currency of the Customer’s card account differs from the payment currency, the conversion is performed by the card-issuing bank at its own rate; exchange rate differences and the fees of the Customer’s bank are borne by the Customer. The availability of Apple Pay and Google Pay depends on the Customer’s bank, device and country of location.
5.9. Payment in Digital Currency is permitted only for Non-Resident Customers. In this case, the Agreement is a foreign trade agreement concluded between a resident (the Contractor) and a non-resident (the Customer) that provides for the provision of services, and settlements under it in Digital Currency are made on the basis of Part 7 of Article 1 of Federal Law No. 282-FZ of 4 August 2026 “On Digital Currencies and Digital Rights”. The Contractor does not accept payment in Digital Currency from residents, including from citizens of the Russian Federation regardless of their place of residence, as well as from foreign citizens and stateless persons holding a residence permit in the Russian Federation.
5.10. By choosing payment in Digital Currency, the Customer represents (Article 431.2 of the Civil Code) that the Customer is a non-resident and, at the Contractor’s request, provides documents confirming this status (for an individual, a document certifying identity and citizenship and information on the state of permanent residence; for an organisation, documents on its registration in a foreign state), as well as other information that the Contractor needs in order to comply with currency legislation and legislation on combating the legalisation (laundering) of proceeds of crime. Until such documents are received, the Contractor may refuse to accept payment in Digital Currency. A Customer that has given false representations as to the Customer’s status shall compensate the Contractor for the losses caused thereby, including the amounts of any fines imposed.
5.11. For payment in Digital Currency, the Contractor sends the Customer an invoice specifying: the type of Digital Currency and the blockchain network, the address for the transfer, the amount in Digital Currency, the exchange rate at which it was calculated, and the validity period of the invoice. The amount in Digital Currency is calculated on the basis of the price of the Services at the exchange rate at the time the invoice is issued and does not change during its validity period. If the transfer is received after this period has expired, the Contractor may recalculate the amount at the exchange rate on the date of receipt and request an additional payment, or credit the amount received towards payment for the corresponding part of the Services.
5.12. The obligation to pay in Digital Currency is deemed fulfilled from the moment the full amount of the invoice has been credited to the address specified in the invoice and the transaction has received a number of confirmations in the blockchain network sufficient to consider it irreversible. The transfer fee (network fee) is borne by the Customer: the amount received at the Contractor’s address must be no less than the amount of the invoice. If an incomplete amount is received, the Customer pays the difference, or the amount received is credited towards payment for the corresponding part of the Services.
5.13. The Customer is solely responsible for the correctness of the address, the type of Digital Currency and the blockchain network. Digital Currency transferred to a different address, in a different network or of a type not specified in the invoice may be irretrievably lost. The Contractor is not liable for such loss but, where technically possible, assists in its return at the Customer’s expense.
5.14. The Contractor may refuse to accept payment in Digital Currency and return the amount received to the sender’s address less the network fee if: the Customer is a resident or has not confirmed non-resident status; the transfer was made by a third party without the Contractor’s approval; acceptance of the payment contravenes the legislation of the Russian Federation, including the requirements and restrictions of the Bank of Russia and the Government of the Russian Federation; there are grounds to believe that the transaction is connected with the legalisation (laundering) of proceeds of crime or other unlawful activity. In these cases, the payment is not deemed made and Acceptance of the Offer is not deemed performed.
5.15. The Contractor may change the list of accepted Digital Currencies and blockchain networks, the addresses for transfers and the intermediaries used (including digital depositories and other organisations permitted by law to carry out transactions with Digital Currency), and may suspend or discontinue the acceptance of Digital Currency, including in order to comply with legal requirements. This does not affect Services already paid for by the Customer.
5.16. Information on the possibility of payment in Digital Currency is included in the Offer solely in connection with settlements under foreign trade agreements with non-residents (Part 10 of Article 1 of Federal Law No. 282-FZ) and does not constitute an offer addressed to residents to pay in Digital Currency for the Services or for any other goods, work or services.

6. PROCEDURE FOR THE PROVISION AND ACCEPTANCE OF THE SERVICES
6.1. The procedure for holding, rescheduling, cancelling and suspending sessions is set out in the Rules for the Provision of Services (Annex No. 1).
6.2. A Service is deemed duly provided and accepted by the Customer if, within 1 (one) hour after the end of the session, the Customer has not sent the Contractor a reasoned claim regarding the quality of the session or the observance of its time. Sending such a claim does not deprive the Customer of the rights provided for by consumer protection legislation.
6.3. The Parties recognise the legal force of implied conduct and of electronic document exchange (by email, via agreed messengers) in the provision and acceptance of the Services.

7. LIABILITY OF THE PARTIES
7.1. For non-performance or improper performance of their obligations, the Parties are liable in accordance with the legislation of the Russian Federation and this Offer.
7.2. The rights of a Customer that is an individual purchasing the Services for personal needs are determined by Law of the Russian Federation No. 2300-1 of 7 February 1992 “On Protection of Consumer Rights”. Terms of this Offer that restrict such rights compared with the law do not apply.
7.3. The Contractor’s liability to a Customer that is a legal entity or an individual entrepreneur is limited to the amount of funds actually received by the Contractor under the Agreement. The limitation established by this Clause does not apply to Customers that are consumers.
7.4. The Contractor is not liable for non-provision or improper provision of the Services caused by circumstances on the Customer’s side, including: lack or instability of the Internet connection, equipment malfunction, lack of the necessary software, failure to grant access to the camera or microphone, provision of inaccurate information, and other circumstances beyond the Contractor’s reasonable control.
7.5. The Contractor is not liable for the actions (omissions) of banks, payment systems, payment aggregators, operators of the Apple Pay and Google Pay services, cryptocurrency exchanges and wallets, blockchain networks and providers of third-party communication services.
7.6. The Parties undertake to take reasonable measures to mitigate possible losses.

8. AMENDMENT AND TERMINATION OF THE AGREEMENT. REFUNDS
8.1. The Agreement may be amended or terminated by agreement of the Parties, and also unilaterally in the cases provided for by the Offer and by law.
8.2. The Customer may withdraw from the Agreement at any time. In this case, the Contractor refunds to the Customer the prepayment made, less the cost of the Services actually provided (sessions held) and of documented expenses incurred by the Contractor in connection with the performance of the Agreement, if any.
8.3. To obtain a refund, the Customer sends a request via an agreed communication channel, specifying the details for the transfer. The refund is made by the same method as the payment (or by another agreed method) within 10 (ten) business days of receipt of the request and the necessary details. If the Services were paid for in Digital Currency, the refund is made in the same Digital Currency and in the same blockchain network to the address specified by the Customer: the amount of Digital Currency refunded is proportional to the price of the Services not provided, at the exchange rate specified in the invoice, less the network fee for the transfer. The Contractor may request confirmation that the refund address belongs to the Customer.
8.4. The Contractor may withdraw from the Agreement in the event of a material breach of its terms by the Customer (including late payment, provision of inaccurate information, or actions that prevent the provision of the Services), reimbursing the Customer for the cost of the Services paid for but not provided.
8.5. The Contractor may amend the terms of the Offer by publishing a new version on the Website. Amendments take effect from the moment of publication, unless another date is specified, and do not apply to Services paid for by the Customer before the amendments took effect. Continued use of the Services after the publication of amendments constitutes the Customer’s consent to the new version; if the Customer disagrees, the Customer may withdraw from the Agreement in the manner set out in Clause 8.2.

9. DISPUTE RESOLUTION. FORCE MAJEURE
9.1. Disputes are resolved through negotiations. Before applying to court, a Party sends the other Party a written claim; the period for its consideration is 10 (ten) business days, unless another period is established by law.
9.2. If no agreement is reached, the dispute shall be considered by a court in accordance with the legislation of the Russian Federation. Jurisdiction over disputes involving a Customer that is a consumer is determined in accordance with the Law of the Russian Federation “On Protection of Consumer Rights”.
9.3. The Parties are released from liability for non-performance of their obligations if it is caused by force majeure (natural disasters, fires, floods, epidemics, military operations, acts of public authorities, failures of communication and power supply networks, and other extraordinary and unavoidable circumstances). The Party affected by force majeure shall notify the other Party thereof within a reasonable time.

10. PERSONAL DATA
10.1. The Contractor processes personal data in accordance with Federal Law No. 152-FZ of 27 July 2006 “On Personal Data” and the Personal Data Processing Policy published on the Website.
10.2. The legal basis for the processing is the performance of this Agreement (Clause 5 of Part 1 of Article 6 of Law No. 152-FZ). No separate consent of the data subject is required for this purpose; processing is carried out to the extent necessary to provide the Services (surname, first name and contact details of the Customer and the Participant, and information necessary to organise the sessions).
10.3. The Customer, acting as the legal representative of a minor, consents to the processing of the Participant’s personal data to the extent and for the purposes provided for in Clause 10.2.
10.4. Advertising and informational mailings to the Customer, as well as the use of audio and video recordings and of the Participant’s image in advertising and demonstration materials, are carried out only with a separate consent of the Customer executed as a stand-alone document. The absence of such consent does not affect the provision of the Services.
10.5. Consent to the processing of personal data may be withdrawn by sending a notice to support@chessprime.online. After withdrawal, the Contractor may continue processing in the cases provided for by law (including for the performance of the Agreement and for storage during the established periods).

11. INTELLECTUAL PROPERTY
11.1. All methodological, training and demonstration materials provided in the course of the Services, as well as recordings of sessions, are results of intellectual activity, the rights to which belong to the Contractor or are used by the Contractor on a lawful basis.
11.2. The Customer and the Participant are granted the right to use such materials solely for personal non-commercial purposes in the course of receiving the Services. Copying, public distribution, making available to the public, as well as independent audio or video recording of sessions without the Contractor’s written consent are not permitted.

12. LEGALLY SIGNIFICANT COMMUNICATIONS. REPRESENTATIONS
12.1. Legally significant communications are sent by the Parties to the contact details specified at Acceptance (email address, telephone number, agreed messengers) and are deemed received in accordance with Article 165.1 of the Civil Code. Each Party is responsible for keeping its contact details up to date.
12.2. Each Party represents (Article 431.2 of the Civil Code) that it has the necessary legal capacity, capacity to act and authority to conclude and perform the Agreement, and that the information it has provided is accurate.

13. TERM AND FINAL PROVISIONS
13.1. The Offer enters into force upon publication on the Website and remains valid until withdrawn by the Contractor. The Agreement is valid from the moment of Acceptance until the Parties have fully performed their obligations.
13.2. Withdrawal or amendment of the Offer does not affect Agreements concluded before such withdrawal or amendment.
13.3. The invalidity of any individual term of the Offer does not entail the invalidity of the remaining terms.
13.4. In all matters not regulated by the Offer, the Parties shall be guided by the legislation of the Russian Federation.

ANNEX No. 1 to the Public Offer
RULES FOR THE PROVISION OF SERVICES
1. Holding sessions
1.1. Sessions are held remotely according to the agreed schedule using services determined by the Contractor.
1.2. With the Customer’s consent, the Contractor may make audio and video recordings of sessions to monitor and improve the quality of the Services and to resolve disputes. The use of recordings for other purposes is governed by Clauses 4.2.3 and 10.4 of the Offer.
1.3. If communication with the Customer (Participant) has not been established at the scheduled time, the coach attempts to make contact using the contact details provided. The session is deemed to have started as scheduled, regardless of the moment of actual connection.
1.4. If communication could not be established for reasons attributable to the Customer, the session is deemed held and is paid for in the amount of the cost of the specialist’s reserved time as a documented expense of the Contractor. This clause does not apply if the impossibility of holding the session is caused by reasons on the Contractor’s side.
1.5. If, within 7 (seven) minutes after the start of the session, the Participant has not received an invitation or message from the coach, the Customer should contact the Contractor. A session that did not take place through the Contractor’s fault is rescheduled to an agreed time at no additional charge.

2. Rescheduling, cancellation and suspension of sessions
2.1. The Customer may reschedule or cancel a session by notifying the Contractor no later than 10 (ten) hours before it starts. In this case, no fee is charged or the session is rescheduled.
2.2. If notice is given later than this deadline, or in the event of a no-show without notice, the cost of the specialist’s reserved time is withheld as compensation for the expenses actually incurred by the Contractor. This rule does not limit the rights of a Customer that is a consumer provided for by law.
2.3. The Customer may reschedule an unlimited number of sessions and cancel no more than 3 (three) sessions per calendar month, unless otherwise stated on the Website.
2.4. Rescheduling and cancellation are arranged through the Contractor’s manager (telephone, email, agreed messengers).
2.5. The Contractor may change the schedule by notifying the Customer no less than 30 (thirty) hours before the start of the session by any agreed method.
2.6. The Customer may suspend receiving the Services while keeping the schedule, provided that both of the following conditions are met: the suspension period does not exceed 15 (fifteen) calendar days; at least one subsequent session has been paid for as of the date of suspension.
2.7. The Contractor may temporarily suspend the provision of the Services during public holidays, as well as in the event of force majeure, notifying the Customer in advance by any agreed method.

3. Technical requirements
3.1. The Customer independently ensures that the equipment meets the minimum technical requirements necessary for video communication and the operation of online chess services (an up-to-date browser version, a stable Internet connection, a working microphone and webcam) and arranges a workplace.
3.2. Before a session, it is recommended to close applications that place a significant load on the Internet connection and to grant the service used access to the microphone and camera.
3.3. The Contractor is not liable for reduced quality or impossibility of providing the Services due to equipment not meeting the requirements, unstable communication or other circumstances on the Customer’s side.
